This is the agreement you accept at checkout. The Licensee is the business name you provide on the payment form. Please read it before completing your purchase.
1Definitions
“Licensor” means Wrightbrained Security. “Licensee” means the business or legal entity identified by the business name provided by the purchaser at checkout, on whose behalf the purchaser represents they are authorized to act. “Materials” means the documents, templates, spreadsheets, guides, automation scripts, and other files delivered as the Complete Tier of the CMMC Compliance Engine.
2License grant
Subject to payment and the terms below, Licensor grants Licensee a non-exclusive, non-transferable single-organization license to use the Materials internally to prepare for and support the Licensee’s own CMMC Level 2 assessment, including adapting the Materials for the Licensee’s own environment.
Consultants and MSPs
A single-organization license authorizes use for one organization. Consulting firms and managed service providers deploying the Materials for clients require a separate license per client organization. Additional single-organization licenses are available at a $500 discount each.
3Restrictions
- No reselling, redistributing, publishing, sublicensing, or sharing the Materials, in whole or in part, outside the licensed organization.
- No use of the Materials to create a competing product or compilation for distribution.
- No removal of proprietary notices, attribution, or licensing identifiers from the Materials.
- Internal adaptation for the Licensee’s own compliance program is permitted; external distribution of adapted Materials is not.
4Ownership
The Materials are licensed, not sold. Licensor retains all intellectual property rights in the Materials. Documents the Licensee creates by populating templates with its own organizational information belong to the Licensee, but the underlying templates and the Materials remain the property of Licensor.
5Annual license & updates
The purchase includes one year of access to updates to the package, including alignment to NIST SP 800-171r3 if it becomes required within the year, plus any new tools added during that period. After one year, continued access to updates and these benefits is available for 15% of the then-current tier price. Licensee may decline renewal; declining ends access to future updates and benefits but does not revoke the license to Materials already delivered.
6Upgrades
Licensee may upgrade to a higher tier at any time; the original purchase price is credited toward the upgrade price.
7No warranty & no assessment guarantee
The Materials are provided “as is.” Licensor does not warrant that use of the Materials will result in a passing CMMC assessment or certification. The Materials are documentation and tooling aids; assessment outcomes depend on the Licensee’s implementation, evidence, and environment. To the maximum extent permitted by law, Licensor disclaims all implied warranties, including merchantability and fitness for a particular purpose.
8Limitation of liability
To the maximum extent permitted by law, Licensor’s total liability arising out of or relating to the Materials will not exceed the amount paid by Licensee for the license. Licensor will not be liable for indirect, incidental, consequential, or punitive damages.
9Term & termination
This license is effective on acceptance and continues unless terminated. Licensor may terminate the license if Licensee materially breaches these terms and does not cure within [30] days of notice. On termination for breach, Licensee must cease use of the Materials and provide written attestation that all materials have been destroyed.
10Governing law
This Agreement is governed by the laws of the State of Mississippi, without regard to conflict-of-laws rules. Venue for disputes lies in Hinds County, Mississippi.
11Acceptance
By checking the acceptance box and completing payment, the purchaser represents they are authorized to bind the Licensee identified at checkout and agrees, on the Licensee’s behalf, to this Agreement as it exists at the time of purchase (version v 1.1). A record of acceptance — including the business name, email, agreement version, and timestamp — is retained by Licensor.
